1. Agreement Acceptance

By engaging CIS Tech UG for services, using our website, or entering into any business relationship with us, you agree to these Terms of Service. These terms govern all business relationships and service delivery.

2. Services Description

2.1 Service Offerings

  • Software Development: Web apps, mobile apps, custom solutions, APIs
  • Animation Services: 2D/3D animation, video production, motion graphics
  • IoT Solutions: Hardware integration, sensor networks, analytics platforms
  • Robotics: Automation systems, control & vision software, industrial robotics
  • Consulting: Technical advisory, architecture, planning, strategy

2.2 Service Delivery

  • Delivered per agreed specifications and contracts
  • Timelines & milestones defined in project agreements
  • Regular progress updates & client communication
  • Quality assurance & testing in all deliverables
  • Documentation & training as specified in contracts

2.3 Custom Solutions

All services are customized to client requirements. Specific terms, timelines, and deliverables are defined in individual project contracts that supplement these terms.

3. Client Responsibilities

3.1 Information and Access

  • Provide accurate, complete requirements and specifications
  • Grant necessary access to systems, data, personnel, facilities
  • Respond to feedback & approvals within agreed timeframes
  • Ensure content and materials are legally owned or licensed
  • Designate authorized representatives for project decisions

3.2 Cooperation and Communication

  • Participate in planning and review meetings
  • Provide timely feedback on deliverables
  • Notify us of changes in requirements or constraints
  • Maintain professional communication with our team

3.3 Technical Requirements

  • Provide infrastructure & environment for testing/deployment
  • Ensure compatibility with existing systems
  • Maintain backup & data recovery procedures
  • Implement recommended security measures & updates

4. Payment Terms

4.1 Pricing and Invoicing

  • Fees as specified in project contracts
  • Payment schedule typically milestone-based
  • Invoices issued per agreed schedule
  • All prices exclude applicable taxes unless stated

4.2 Payment Methods and Currency

  • Methods: Bank transfer, PayPal, Stripe, or agreed
  • Currency: EUR, USD, or as specified
  • Terms: Net 30 days unless otherwise agreed
  • Late payments may incur interest and suspension

4.3 Scope Changes

Additional work beyond original scope requires written approval and may incur extra fees and timeline adjustments.

5. Intellectual Property Rights

5.1 Client-Owned IP

  • Clients retain ownership of existing IP
  • Clients receive ownership of deliverables upon full payment
  • No claim on client processes, confidential info, or trade secrets
  • Use of client trademarks for portfolio only with consent

5.2 CIS Tech IP

  • We retain proprietary tools, frameworks, methodologies
  • Open-source components remain under their licenses
  • General knowledge and techniques remain with CIS Tech
  • We may develop similar solutions using general methods

5.3 Third-Party Components

Third-party software/services are subject to their licenses. Clients must obtain necessary licenses. We provide guidance on compliance.

6. Confidentiality

6.1 Mutual Obligations

  • Both parties protect confidential info indefinitely
  • Limited disclosure only to essential team members
  • Return or destroy confidential materials on request

6.2 Definition of Confidential Information

Includes technical specs, source code, business strategies, customer data, and any info marked confidential.

6.3 Exceptions

Obligations do not apply to info publicly available, known prior, independently developed, or legally required disclosure.

7. Warranties and Disclaimers

7.1 Service Warranties

  • Performed with professional skill & care
  • Deliverables will conform to agreed specifications
  • Defects corrected at no charge within 90-day warranty

7.2 Disclaimer of Other Warranties

No warranty of uninterrupted or error-free operation, compatibility with future tech, or third-party integrations.

7.3 Third-Party Services

Third-party services are subject to their terms. We provide best-effort support but cannot guarantee performance.

8. Limitation of Liability

8.1 Liability Limits

  • Total liability capped at fees paid for the project
  • Annual liability capped at €100,000
  • No liability for indirect, consequential, or punitive damages

8.2 Specific Exclusions

No liability for misuse, failure to implement security, existing infrastructure issues, or force majeure.

8.3 Indemnification

Client indemnifies CIS Tech for claims from use of client data, IP violations, breaches, or misuse.

9. Project Timeline and Force Majeure

9.1 Timeline Commitments

Timelines are estimates; client delays or scope changes may extend them. We will notify you of potential delays.

9.2 Force Majeure

Performance may be suspended due to disasters, pandemics, infrastructure failures, strikes, or client-caused delays.

10. Termination

10.1 Termination Rights

  • Either party may terminate with 30 days notice
  • Immediate termination for material breach with cure period
  • We may suspend for non-payment after 7 days

10.2 Effect of Termination

Payment due for completed work, confidential materials returned within 30 days, obligations survive.

11. Governing Law and Dispute Resolution

11.1 Applicable Law

  • EU clients: German law & EU regulations
  • US clients: State & federal law
  • Others: German law with local mandatory compliance

11.2 Dispute Resolution Process

  • Negotiation for 30 days
  • Mediation if negotiation fails
  • Arbitration under ICC for >€50,000
  • Local courts for smaller disputes

11.3 Language and Jurisdiction

Proceedings in English and German; jurisdiction in Berlin unless agreed otherwise.

12. General Provisions

12.1 Entire Agreement

These terms and project contracts form the entire agreement. Written overrides verbal.

12.2 Modifications and Updates

Terms may update with 30 days notice; material changes require acceptance.

12.3 Severability and Interpretation

Invalid provisions don’t affect the rest; headings for convenience only.

12.4 Assignment

CIS Tech may assign rights; clients need consent to assign; subcontracting allowed.
